ProfitWire Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you" or "Customer") and ProfitWire LLC ("ProfitWire," "we," "our," or "us") and govern your access to and use of ProfitWire, ProfitScan, RipTracker, our website at www.getprofitwire.com, and any related services (collectively, the "Services"). By creating an account or using the Services, you agree to these Terms and our Privacy Policy and Acceptable Use Policy.

1. Eligibility and Accounts

You must be at least 18 years old and able to enter a legally binding contract. You are responsible for the accuracy of your registration information, keeping your credentials confidential, and all activity under your account. Notify us immediately at support@getprofitwire.com if you suspect unauthorized access.

2. The Services

ProfitWire is a SaaS platform for eBay sellers and trading card businesses. Features include inventory management, financial reporting, marketplace synchronization, AI-powered business insights, OCR-based card identification (ProfitScan / RipTracker), sales tracking, and analytics dashboards. Features may be added, modified, or removed as the product evolves.

3. Subscription Plans and Billing

• ProfitWire offers Free, Seller, and Pro subscription tiers. Feature limits, quotas, and pricing are listed on our Pricing page and are incorporated into these Terms.
• Paid subscriptions are billed in advance on a recurring monthly or annual basis through Stripe, our payment processor.
• You authorize us and Stripe to charge your chosen payment method for all fees due, including applicable taxes.
• Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
• You can view invoices, update payment methods, change plans, and cancel at any time from the Stripe customer portal linked in your account.
• Subscriptions purchased inside the ProfitWire Android app are billed and managed by Google Play under Google's terms, not by Stripe. You manage renewal, payment method, and cancellation for those subscriptions in your Google Play account, and refund requests for them are handled by Google. ProfitWire does not offer a Google Play free trial or introductory offer.
• Access is granted only after our servers verify a purchase with the relevant payment provider. A purchase that is pending, unverified, or refunded grants no access.
• If a payment fails, we may suspend or downgrade your account after reasonable retry attempts and notice.

4. Refund Policy

Subscription fees are non-refundable except where required by law. Cancelling a paid plan stops future renewals; you retain access to paid features until the end of the current billing period. If you were charged in error or experienced a service failure attributable to us, contact support@getprofitwire.com within 30 days and we will review your request in good faith.

5. Acceptable Use

Your use of the Services is subject to our Acceptable Use Policy. We may investigate, suspend, or terminate access for violations, including fraud, abuse, unauthorized scraping, credential sharing, reverse engineering, or activity that threatens the security or integrity of the Services.

6. Intellectual Property

The Services, including all software, models, designs, logos, text, graphics, and documentation, are owned by ProfitWire LLC or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. All rights not expressly granted are reserved.

7. User Content and Your Data

You retain all rights in and ownership of the content, images, inventory records, marketplace data, and other data you upload or connect to the Services ("Your Data"). You grant ProfitWire a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create derivative works of Your Data solely as necessary to (a) provide the Services to you, (b) prevent or address service or technical problems, and (c) comply with legal obligations. We do not sell Your Data and we do not use Your Data to train third-party foundation models.

You represent and warrant that you have all necessary rights to submit Your Data and that Your Data does not violate any law or third-party right.

8. AI Features and Data Accuracy Disclaimer

ProfitScan, RipTracker, valuations, comparables, cost allocations, reports, and AI-generated insights are informational tools only. They may be inaccurate, incomplete, or out-of-date. The Services do not constitute accounting, tax, legal, financial, investment, or appraisal advice. You are solely responsible for reviewing outputs, verifying information, and making your own business decisions.

9. Third-Party Integrations

The Services integrate with third parties including eBay, Stripe, Supabase, our email provider, and our analytics provider. Your use of those services is governed by their own terms and privacy policies. ProfitWire is not responsible for outages, API changes, listing errors, sync delays, or policy changes made by third parties. You may revoke marketplace access at any time.

10. Beta and Experimental Features

Features labelled "beta," "preview," or "experimental" are provided AS IS, may change or be withdrawn without notice, and may produce inaccurate results. Do not rely on beta features for decisions with material financial, legal, or operational consequences.

11. Service Availability

We work to keep the Services available but do not guarantee uninterrupted or error-free operation. The Services may be temporarily unavailable for maintenance, upgrades, security remediation, or events outside our reasonable control (including third-party provider or marketplace outages).

12. Suspension and Termination

You may cancel your subscription or delete your account at any time from the Delete Account page. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Services or other users. On termination the license granted to you ends immediately; provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

13. Disclaimer of Warranties

The Services and all outputs are provided "as is" and "as available." To the maximum extent permitted by law, ProfitWire disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

14. Limitation of Liability

To the maximum extent permitted by law, ProfitWire LLC and its officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility of such damages. In no event will ProfitWire's aggregate liability arising out of or relating to the Services exceed the greater of (a) US $100 or (b) the amount you paid ProfitWire in the twelve months preceding the event giving rise to the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless ProfitWire LLC and its affiliates from and against any third-party claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to: (a) Your Data; (b) your use of the Services in violation of these Terms, the Acceptable Use Policy, or applicable law; or (c) your violation of any third-party right, including any marketplace's terms of service.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. The exclusive venue for any dispute not subject to arbitration will be the state or federal courts located in Delaware, and you consent to personal jurisdiction there. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force.

17. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with an updated effective date and, where appropriate, communicated by email or in-app notice. Continued use of the Services after changes take effect constitutes acceptance.

18. Founding Seller Pricing

The following terms apply only if you participate in Founding Seller Pricing. They supplement, and where they conflict they control over, the general pricing statements in Section 3 and on our Pricing page.

• Founding Seller Pricing is a limited promotional offer covering at most 100 paid positions. Available to the first 100 eligible trial customers who successfully convert to a paid monthly Seller or Pro subscription.
• Founding pricing is $14.99 per month for the Seller plan and $29.99 per month for the Pro plan, billed monthly in USD. Non-founding pricing is the then-current published price, currently $19.99 per month for Seller and $29.99 per month for Pro. Subscriptions created on an earlier published price keep that price for as long as they remain continuously active, including the $14.99 per month Seller price and the $39.99 per month Pro price.
• A permanent founding position is awarded only after your first qualifying subscription payment succeeds. Creating an account, starting a free trial, or beginning checkout does not by itself secure a founding position, and no founding position is created if your first payment does not succeed.
• Starting checkout may hold a spot for 30 minutes. The founding position becomes permanent when payment succeeds. A reservation expires automatically after 30 minutes and releases the position back to the remaining capacity.
• Founding pricing is locked in while your subscription remains continuously active. If your paid subscription lapses, is cancelled, or is terminated, the founding position and its pricing end and cannot be reinstated; any later subscription is billed at the then-current standard price.
• Founding positions are personal to the account that earned them. They are not transferable, assignable, refundable, or redeemable for cash, and they do not apply to add-ons, usage-based charges, or taxes.
• Founding Seller Pricing may be paused, closed, or withdrawn for new customers at any time once capacity is reached or at our discretion. Withdrawing the offer for new customers does not affect founding positions that have already been earned.

19. Marketplace Trademarks and Non-Affiliation

eBay and the eBay logo are trademarks of eBay Inc. All other product names, logos, and marks referenced in the Services are the property of their respective owners.

ProfitWire is an independent product. ProfitWire LLC is not affiliated with, endorsed by, sponsored by, certified by, or otherwise associated with eBay Inc. or any other marketplace, and no such relationship should be inferred from our use of a marketplace name to describe interoperability.

ProfitWire accesses marketplace data only through the marketplace's published developer interfaces and only with the authorization you grant. You remain responsible for complying with each marketplace's own terms, policies, and fee schedules, and you may revoke ProfitWire's access at any time.
